1. Acceptance of Terms

By accessing, integrating with, or utilizing the Maintain Arabia Platform (the "Platform"), including our Data Historian, Asset Performance Management (APM), and CMMS software, your organization ("Client") agrees to be bound by these Terms of Service. If you are entering into these terms on behalf of a corporate entity, you represent that you have the authority to bind such entity.

2. Provision of Service & Platform Architecture

Maintain Arabia grants the Client a non-exclusive, non-transferable subscription to access the Platform. The Platform is designed to ingest industrial telemetry, provide predictive analytics, and automate maintenance execution. Maintain Arabia reserves the right to update, enhance, or modify the Platform (including Industry 5.0 updates like Digital Twins and Energy Management features) to continuously improve algorithmic accuracy.

3. Intellectual Property & Data Ownership

  • Client Data Ownership: The Client retains all right, title, and interest in and to their raw Industrial Data (telemetry, sensor readings, legacy maintenance logs).
  • Maintain Arabia IP: Maintain Arabia retains all rights, title, and interest in the Platform, including the APM logic, Machine Learning models, software code, UI/UX, and methodologies.
  • Aggregated Analytics: Maintain Arabia retains the right to utilize aggregated, anonymized telemetry data to train, tune, and enhance our predictive algorithms across the platform, provided such data cannot be reverse-engineered to identify the Client.

4. Limitation of Liability (Critical to Read)

The Maintain Arabia Platform utilizes advanced AI and Machine Learning to provide predictive and prescriptive insights regarding asset health. However, heavy industrial operations involve inherent physical risks.

  • Decision Support Only: The Platform is an advisory and operational tool. The Client is solely responsible for the physical execution of maintenance and the safety of their facility.
  • No Absolute Guarantee: Maintain Arabia does not guarantee that the Platform will predict 100% of machine failures or prevent all unplanned downtime. Algorithms cannot account for force majeure, undetected hardware defects, or human negligence.
  • Cap on Liability: To the maximum extent permitted by applicable law, Maintain Arabia shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of production, facility downtime, or physical damage to industrial assets.

5. Cybersecurity & Authorized Use

The Client agrees not to reverse-engineer, decompile, or attempt to extract the source code of the APM algorithms. The Client is responsible for securing their edge hardware, sensors, and credentials before transmitting data to the Maintain Arabia IIoT middleware.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
